I. Status Quo of Magnesite Industry and Mining Enterprises
Currently, the city has proven reserves of 2.64 billion tons of magnesite, 42 existing mining companies, and the total design scale of ore mining is 13.37 million tons. From 2014 to 2016, according to dynamic monitoring, the average magnesite ore mining volume is about 9 million tons. According to the survey, the actual annual extraction volume is about 16 million tons to 18 million tons, and the average magnesia fire-resistant raw materials from 2014 to 2016 The output is about 6.4 million tons, and the output of stereotypical and indefinite refractory products is about 1 million tons. The magnesium industry has become the pillar industry of our city.
In recent years, the city's magnesite industry has developed rapidly, but it has also exposed some problems, such as excessive mining of mines, disorderly industry competition, relatively low industrial concentration, ecological destruction, and environmental pollution. Therefore, it is imperative to promote resource integration, standardize mining, and implement ecological environmental protection.
Second, the guiding ideology
Guided by the spirit of the party's 19th National Congress and the National Conference on Eco-environmental Protection, it fully implements the scientific thesis of General Secretary Jinping Jinping's “Green Mountain is Jinshan Yinshan”, resolutely fights against pollution prevention and crackdown, and promotes ecological civilization construction to a new level. Taking the structural reform on the supply side as the starting point, we will fully promote the integration of Magnesite resources, effectively strengthen ecological environmental governance, and be guided by scientific development, promote industrial restructuring and transformation and upgrade, and realize advantages from resources to industrial advantages, market advantages, and efficiency advantages. Capital advantage transformation.
Third, the principle of integration
(1) Adhere to the principle of unification of economic benefits, social benefits, and ecological benefits. Through the integration of resources, the total mining volume will be reduced, the product value will be raised, the operating cost of the enterprise will be reduced, the revenue of the enterprise and the government revenue will be increased, the social effects of the resource-based industry will be expanded, and the ecological restoration and environmental improvement will be accelerated.
(b) Adhere to the principle of step-by-step implementation and integration of global integration and regional integration. In view of the complexity and arduousness of resource integration, we will adopt a phased approach to promote and, on the premise of guaranteeing full integration of resources, encourage and support enterprises to try out regional integration to ensure that resource integration is steadily advancing and the overall situation is good.
(C) Adhere to the principle of total control, orderly exploitation and unified sales. The mining enterprise shall implement dynamic regulation of the total amount of exploitation, strictly regulate the order of the enterprise's operation and management, realize unified sales of the platform, and uniformly price the products, highlight the right of market control, and enhance the competitiveness of the industry.
Fourth, mission objectives
Through the integration of magnesium resources. Standardize the order of mining, control the scale of mining, implement environmental protection and ecological restoration, formulate the international standard system for magnesite industry and products, improve the level of industry operation and management, and realize the transformation and upgrading of industrial chain, product structure, and technological process, and go green, intensive and efficient. The sustainable development path will make every effort to build a world-class magnesite new material industrial base.
V. Integration scope and scale
The scope of this resource integration is 42 mine companies that hold the “Mining Permit” of Magnesite Mine Resources in our city. At present, there are 28 companies with integration requirements. According to the work team's understanding and investigation, 14 will not be integrated for the time being. They need to be verified by national land, forestry, and safety inspections, including 4 sub-mining companies belonging to the large mines. Mining enterprises, if they need to extract, mining can be transferred to large mines.
Six, integration steps and time limit
(I) Understand the research phase. We conducted a thorough investigation on the status of all magnesite mining companies and their resource reserves in the city, and put forward the “integration plan”. The deadline for completion is May 8 to May 31.
(b) determine the integration of access to the enterprise stage. For the mining enterprises that meet the mining conditions, it is determined that the integration of access enterprises, in addition to the two mines belonging to Jinding Group, the remaining 12 companies with annual design scale of more than 200,000 tons will be integrated first, with a total design scale of approximately 9 million tons The deadline for completion is May 31-June 30; 14 mining companies with annual design capacity of 200,000 tons or less, with a total design capacity of approximately 1.15 million tons, will be placed in the second batch of consolidation, and the time limit for completion is June 30. (c) sign the agreement stage. Liaoning Magnesite Mining Co., Ltd. (hereinafter referred to as “Total Public Training”) has signed a “Cooperation Agreement” with the integrated mining companies to clarify the rights and obligations of each party. The deadline for completion is May 31-June 15.
(D) the integration of operational stages. Determine the organizational structure of the head office, manage the model, compile the company's articles of incorporation, establish the operating mechanism, and organize the company's operations. The time limit for completion is June 15th - June 30th.
Seven, management mode
(1) Further clarify the chairman's job responsibilities. In addition to the established responsibilities, the chairman of the board of directors also enjoys the absolute power of strategic decision-making in the industry, promotion of industrial transformation and upgrading, and capitalized operation of the company. From the stage of the company's formation to its initial operation, the chairman of the company is also the general manager.
(B) the implementation of total control
One is the quantitative supply of gunpowder. The ore output is regulated by compressing the amount of gunpowder supplied. Initially determined on June 30th for the first batch of integrated mining companies, the implementation of security risks to rectify the supply of drugs, the official timing of the administration of the headquarters of the company decided to study.
The second is to implement dynamic monitoring. The head office employs more than two qualified dynamic monitoring agencies and, based on actual needs, conducts on-the-spot monitoring of mined mining companies. For the first time before pre-harvest monitoring, the original ore in the mine yard must be completely cleared.
The third is to implement measurement management. A measurement station is set up at the exit of each mining enterprise, and the head office conducts full supervision.
The fourth is to implement enterprise industry supervision. The head office draws corresponding personnel from the mining enterprises to form a protection team and implement mutual supervision to ensure that the total amount of mining can be strictly controlled.
The fifth is to compress and control downstream processing capacity. Through environmental protection and rectification, the total volume of products will be consolidated to ensure that production capacity control and resource integration will be promoted simultaneously. The integration of downstream processing companies should be completed by September 30.
(III) Organization Platform Sales
First, the ores mined by the mining enterprises all enter platform sales. The total sales of the platform are carried out according to the total amount of ore mining control, and the head office will adjust the ratio according to the production needs. The total amount of ore sold in the first phase of the platform was approximately 7.2 million tons, and the total amount of ore sold in the second batch of platforms was approximately 920,000 tons. For mines with downstream processing companies, the purchase quota must not exceed 85% of their own production capacity.

The second is that processing companies must implement reciprocal purchases on ore purchases, that is, purchase the corresponding grade ore according to the main products of the enterprise. In addition, the two mining companies affiliated to Jinding Group, in addition to meeting the processing needs of the company itself, all the other ores will enter the platform sales. Other rules formulated by the head office must be strictly enforced by the company.
Third, in order to curb the phenomenon of running, running, dripping, and leaking, it is not necessary to issue product transport orders to circulation and distribution companies, and only to production enterprises. Circulating sales companies must hold production enterprise tickets when they sell.
(D) Scientifically identify ore grades and dynamically determine product prices. The head office establishes an appraisal agency to carry out rigorous validation according to the company's reported ore grades and grades to ensure product quality. At the same time, according to the market conditions and supply and demand situation, through the board of directors to discuss and determine the price of the product.
(e) Strictly control the exit of ore. In order to meet the production needs of processing enterprises, foreign ores can be purchased, but the total amount must be controlled. The local ore limits the exit in principle. Combined with the market conditions in the surrounding areas, timely dynamic adjustments are made to control ore inflows through price levers. At the same time, the implementation of supervision combined with regulations will tighten the responsibilities of the territorial township.
(6) Collect ecological restoration funds. Collect ecological restoration funds according to exploitation amount of mining enterprises, implement quarterly accounting, and collect quarterly accounting fees. Mines with annual design scale of 500,000 tons or less (including 500,000 tons) will receive 15 yuan per ton, considering large taxpayers, with an annual design scale of 50 Millions of tons - 1.5 million tons of mining companies charge 10 million yuan, the design of the scale of 1.5 million tons or more (including 1.5 million tons) of the mining companies, charging 12 million yuan, the annual charge of about 100 million yuan. The funds are mainly used for dynamic monitoring, environmental protection and ecological restoration, etc. The short-term and medium-term and long-term plans for ecological restoration are formulated and implemented by the head office. This fund can also be used for the acquisition of small-scale mining companies. The acquired assets are owned by the parent company. Each shareholder company holds the corresponding shares in proportion to the paid funds.
(7) To collect business deposits. Based on the annual design scale of the enterprise, a one-time operating guarantee will be collected. The mining enterprise with an annual design capacity of 100,000 tons (including 100,000 tons) will receive 1 million yuan, and the annual design scale will be 100,000 tons - 300,000 tons (including 300,000 tons). ) The mining company collects 10 yuan per ton, the mining company with an annual design scale of 300,000 tons - 500,000 tons (including 500,000 tons) charges 4 million yuan, and the mining enterprise with an annual design scale of 500,000 tons or above receives 6 million yuan, the amount charged About 50 million yuan. The funds are mainly used to regulate the management of enterprises, penalize over-exploitation, illegal mining, illegal exploitation, and the outbound behavior of ore.
(8) Charge for the operation and management of the head office. In order to ensure the operation and management expenditure of the head office, the municipal finance is responsible for appropriating 50%, and the rest is extracted from the profits of the company.
(9) The total allocation of Magnesium General Plant. The mining of the Magnesium General Plant shall be strictly implemented in accordance with the total amount control plan formulated by the municipal government, and its internal distribution and management shall be resolved by Magnesium.
(x) Trial regional integration and management. It is determined that taking Mafeng area as a pilot, it is instructed by Fengchi to take advantage of the company's own funds to adopt regional alliances such as joining, shares, and acquisitions to fully cooperate with the company's orderly mining in the region, ore leaving, platform sales, and grades. Appraisal, etc. are supervised and conducted in parallel with the integration of the company's operations.
Eight, supporting measures
(1) The municipal party committee and the municipal government have instructed the departments of land, security, forestry, and other functional departments to carry out “physical examinations” on the mining enterprises, confirming the existing problems, and providing effective basis for the access of enterprises.
(2) For enterprises that have expired or are about to expire, they are advised to strictly check and seriously examine and approve the municipal and township governments during the process of applying for a permit.
(3) The municipal party committee and the municipal government shall organize public security, land and land, security supervision, forestry, comprehensive law enforcement, water conservancy, environmental protection and other departments and related townships to strictly supervise the illegal mining and illegal mining of the mines, especially the acts of unauthorized mining and unauthorized exit. Severely cracked down.

(IV) The Ministry of Finance organizes and coordinates the taxation department, and based on the analysis of the total mining volume and production data of the enterprise, careful accounting, strict collection and management, earnest collection, and resolute elimination of tax losses.
Nine, organization and leadership
In order to strengthen the organization and leadership of the integration of magnesite mineral resources, a leading group for the integration of resources for magnesite mineral resources in Haicheng was established.
